These Terms of Use govern your access to and use of AGMVote, a secure electronic voting platform for Canadian condominium corporations, operated by Wingz Marketing & Sales, Inc. By using AGMVote, you agree to these terms.

1. Eligibility

AGMVote is intended for use by registered Canadian condominium corporations, their board members, property managers, and unit owners. Access is granted on a per-corporation basis by the corporation's board administrator.

2. Permitted Use

You may use AGMVote solely for the purpose of conducting or participating in Annual General Meetings and related governance activities for your condominium corporation. You agree not to:

• Share your login credentials with any other person
• Attempt to access another unit owner's account or voting record
• Use the platform for any fraudulent or unauthorized purpose
• Interfere with the security or integrity of any meeting or vote

3. Accounts & Access

Accounts are created by board administrators on behalf of unit owners. You are responsible for keeping your login credentials confidential. AGMVote is not liable for unauthorized access resulting from failure to protect your credentials.

4. Per-AGM Pricing & Payment

AGMVote is priced on a per-AGM basis at $250 base fee plus $5 per unit. Payment terms are established at the time of corporation setup. Pricing is subject to change with reasonable notice.

5. Ballot Integrity

AGMVote records that a unit has voted for quorum purposes. Individual ballot selections are private and are not stored or disclosed. The platform is designed to support fair, transparent governance — any attempt to manipulate results or impersonate another voter is strictly prohibited and may result in immediate account termination.

6. Availability

We make reasonable efforts to maintain platform availability, particularly during scheduled AGM windows. However, we do not guarantee uninterrupted access and are not liable for downtime resulting from infrastructure failures, maintenance, or events outside our control.

7. Intellectual Property

All software, design, and content comprising AGMVote is the property of Wingz Marketing & Sales, Inc. You may not copy, reproduce, or distribute any part of the platform without written permission.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Wingz Marketing & Sales, Inc. shall not be liable for any indirect, incidental, or consequential damages arising from your use of AGMVote. Our total liability shall not exceed the fees paid by your corporation in the preceding 12 months.

9. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
